1. Parties & Scope
This Membership Agreement ("Agreement") is concluded between Tayfun Silver Wholesale (the "Provider") and the company or professional applying for and using a trade account on the wholesale platform (the "Member" or "you").
The Agreement governs your access to and use of the Tayfun Silver Wholesale online platform, including member-only prices, catalogues and tools. It operates together with the Terms & Conditions, Privacy Policy, Payment & Returns Policy and other applicable policies.
2. Eligibility for Membership
Access to Tayfun Silver Wholesale is reserved for professional buyers and trade partners such as:
- Jewellery retailers and boutiques,
- Online stores and marketplaces operating in the jewellery segment,
- Wholesale distributors, buying offices or agents,
- Corporate buyers and other professional clients approved by us.
By applying for membership, you confirm that you are acting on behalf of a business or professional activity and not as a private end-consumer.
3. Application, Verification & Approval
To request membership, you may be asked to provide information including (but not limited to):
- Company name, registration details and tax/VAT number (where applicable),
- Business address, website, marketplace links or social media profiles,
- Contact person details (name, role, email, phone),
Tayfun Silver Wholesale reserves the right to:
- Request additional documents or references to verify your business activity,
- Approve or decline applications at its discretion,
- Limit access or features based on risk, region or other strategic considerations.
4. Account Creation & Use
- Once approved, a wholesale account will be created for your company and associated contact person(s).
- You are responsible for keeping login credentials confidential and ensuring that only authorised employees or representatives use the account.
- All actions taken through your account (orders, requests, changes) will be considered as actions undertaken by your company or with your authorisation.
- If you suspect unauthorised access, you must inform us promptly so that we can help secure the account.
5. Member Responsibilities
As a Member of Tayfun Silver Wholesale, you agree to:
- Provide accurate, up-to-date information during registration and keep it updated,
- Use the platform in accordance with applicable laws and our policies,
- Respect confidentiality of pricing, product data and trade terms visible in your account,
- Not share internal materials (catalogues, pricing structures, policy documents) publicly without our written consent, where those materials are clearly intended for trade partners only.
6. Prices, Orders & Applicable Policies
Membership gives you access to wholesale prices, product catalogues and tools, subject to:
- The commercial and risk framework described in the Payment & Returns Policy,
- The logistics and delivery rules set out in the Shipping Policy and Delivery Terms,
- The quality, warranty and tolerance standards described in the Warranty & Returns Terms,
- Any additional terms documented in a specific Sales Agreement with your company.
Placing an order through the platform or via other channels after membership approval constitutes acceptance of those applicable policies for the relevant transaction.
7. Suspension & Termination of Membership
Tayfun Silver Wholesale may, at its discretion and where reasonable, suspend or terminate your membership in cases including (but not limited to):
- Misuse of the platform or violation of our policies,
- Abusive behaviour towards staff or other partners,
- Reasonable suspicion of fraud, illegal activity or risk to the platform,
- Long periods of inactivity where continued membership is not commercially viable.
You may also request closure of your membership account by contacting us. In such cases, we may retain certain data as required by law or for legitimate business purposes, as explained in our Privacy Policy.
8. Confidentiality & Use of Trade Information
During your membership, you may gain access to information considered confidential or commercially sensitive, such as:
- Wholesale price lists and discount structures,
- Design roadmaps, collection concepts or private label opportunities,
- Internal process descriptions and policy frameworks.
You agree not to disclose such information to competitors or unauthorised third parties, and not to use it in ways that could unfairly damage Tayfun Silver Wholesale’s commercial interests.
9. Data Protection & Communication
Personal data relating to your membership (such as contact information and account activity) will be processed in accordance with our Privacy Policy.
By applying for membership, you agree that we may contact you via email, phone or platform notifications for purposes related to:
- Membership administration and verification,
- Order processing, invoicing and logistics,
- Important service messages and policy updates.
10. Governing Law & Dispute Resolution
This Membership Agreement forms part of the overall contractual framework between Tayfun Silver Wholesale and its trade partners. The applicable governing law and dispute resolution mechanism are defined in the relevant Sales Agreement and Terms & Conditions.
In all cases, Tayfun Silver Wholesale aims to resolve issues in a professional and constructive manner, with a focus on long-term trade relationships.
11. Changes to this Membership Agreement
We may update this Membership Agreement from time to time, for example to reflect changes in our services, risk management approach or legal requirements.
The latest version will be published on this page and marked with a “Last updated” date. Where changes significantly affect active members, we may also notify you by email or on-platform messages. Continued use of the platform after such updates constitutes acceptance of the revised terms.
